Hadley Designs Free Sample Program – Terms & Conditions

Effective Date: May 8th 2025

By requesting and accepting a free sample from Hadley Designs LLC ("we", "us", or "our"), you ("you", "your", or "Creator") agree to these Terms and Conditions ("Terms"). These Terms form a binding legal agreement between you and Hadley Designs LLC.

By checking the box at checkout, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. Content Rights & Promotional License

If you choose to create any form of content—such as photos, videos, audio, text, reviews, or other media—that features Hadley Designs products ("Content"), you grant us broad and perpetual rights as follows:

By accepting the free samples, you understand and hereby grant Hadley Designs the irrevocable, worldwide, royalty-free, fully-paid up, non-exclusive, perpetual, sublicensable, and otherwise unlimited right and license to use, reproduce, post, share, distribute, publicly display, and publish your name, nickname, social media handles, voice, video or film portrayals, photograph, likeness, image, and any other means by which you may be recognized (collectively, “Likeness”), as well as any content or materials that may incorporate your Likeness, such as Affiliate Content or other media you create (collectively, “Promotional Materials”), in connection with your use or promotion of our products.

This license includes the right to modify, adapt, edit, crop, subtitle, repurpose, or create derivative works from any Promotional Materials at our sole discretion.

You will not receive any compensation, credit, or royalty for our use of your Content or Likeness unless otherwise agreed in writing. This license survives termination of this agreement and continues indefinitely.

2. Free Sample Policy

  • All samples are provided free of charge, including shipping.

  • You are under no obligation to create or publish any Content.

  • If you choose to post Content, it may be with or without affiliate links.

  • You may be eligible for future rewards, commissions, contests, or promotions, but participation in such programs is optional and governed by separate terms.

3. Eligibility

The sample program is open globally to individuals who are at least 18 years old (or the age of majority in their jurisdiction). You must have legal capacity to enter into binding agreements. Hadley Designs reserves the right to deny or revoke sample access at its sole discretion.

4. Future Incentives and Promotions

From time to time, Hadley Designs may offer optional contests, affiliate sales incentives, or paid promotional opportunities to creators. These programs will be subject to separate official terms, and participation is not required to receive a free sample or to grant the rights listed above.

5. Content Standards

Any Content you choose to create should:

  • Be your original work and not violate any third-party rights;

  • Comply with the policies of the platform it is posted on (e.g., TikTok, Instagram, Facebook, YouTube);

  • Not contain false, defamatory, misleading, or offensive claims about Hadley Designs or its products;

  • Reflect honest opinions and lawful behavior.

We reserve the right to request removal of any Content that we determine, in our sole discretion, violates these standards.

6. Limitation of Liability

To the maximum extent permitted by law, you agree to release, discharge, and hold harmless Hadley Designs LLC and its officers, directors, employees, agents, and affiliates from any and all claims, damages, liabilities, costs, or expenses arising out of:

  • Your participation in the sample program;

  • The use or misuse of your Content or Likeness;

  • Technical issues or platform errors beyond our control;

  • Your violation of any law or third-party right.

7. Dispute Resolution

Any dispute or claim arising out of or in connection with these Terms shall be resolved exclusively through binding arbitration conducted in Dallas, Texas, under the rules of the American Arbitration Association. You waive any right to participate in a class action.

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.

8. Modification & Termination

Hadley Designs reserves the right to modify, update, or terminate this program and these Terms at any time without notice. Any changes will be effective immediately upon posting on our website. Continued participation constitutes your acceptance of any such changes.

9. Entire Agreement

These Terms constitute the entire agreement between you and Hadley Designs regarding the sample program and supersede all prior communications or understandings, whether written or oral. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10. FTC Disclosure Requirements (for Creators Using Affiliate Links)

If you post content that includes affiliate links or receive compensation or free products from Hadley Designs, you are legally required to disclose this connection in a clear and conspicuous way, in accordance with the Federal Trade Commission’s Endorsement Guidelines.

By accepting a free product or participating in any affiliate or incentive program, you agree that:

  • You are solely responsible for making the appropriate disclosures (e.g., “#ad”, “sponsored”, “I received this product for free”, etc.).

  • You will comply with all applicable laws and platform guidelines, including those of TikTok, Instagram, YouTube, Facebook, and the FTC.

  • Hadley Designs is not liable for any penalties, fines, or actions resulting from your failure to disclose properly.
